1. Introduction and Acceptance of Terms
1.1 These Terms & Conditions (“Terms”) form a binding legal agreement between you (“you”, “your”, “User”) and SOAVM Tech (“SOAVM Tech”, “we”, “us”, “our”), a standalone technology and ICT solutions business carrying independent legal personality and operational accountability, with delivery hubs in Lagos, Nigeria (WAT), the European Union (CET), and the United States (EST).
1.2 By accessing, browsing, or otherwise using the Website — including by submitting a contact request, subscribing to a newsletter, downloading a whitepaper or reference architecture, or initiating any enquiry through https://soavmtech.com/contact — you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy and Cookie & Telemetry Policy, which are incorporated into these Terms by reference.
1.3 If you do not agree to these Terms, you must discontinue all use of the Website immediately.
1.4 If you access the Website on behalf of a company, partnership, public institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” includes that entity.
1.5 These Terms govern the Website only. They do not govern the delivery of professional services. Professional services are governed exclusively by an executed Master Services Agreement (“MSA”) and the applicable Statement of Work (“SOW”), as described in Clause 4.
2. Eligibility and Age Restriction
2.1 The Website and the services described on it are directed exclusively at businesses, institutions, and professionals acting in a commercial, governmental, or professional capacity. The Website is not intended for consumer or personal use.
2.2 You must be at least 18 years of age to use the Website, submit any form, or provide any personal data to us.
2.3 Absolute restriction on children under 13. The Website is not directed at children. SOAVM Tech does not knowingly collect, solicit, or process personal information from any person under the age of 13. If we become aware that we have inadvertently received such information, we will delete it promptly in accordance with Section 7 of our Privacy Policy.
2.4 We reserve the right to refuse, suspend, or terminate access to the Website where we reasonably believe a User does not meet these eligibility requirements.
3. Intellectual Property Rights
3.1 Ownership of Website content. All content published on or through the Website — including but not limited to text, copy, blog articles, whitepapers, case materials, reference architectures, diagrams, design templates, page layouts, user interface elements, graphics, icons, photographs, video, audio, data compilations, software, and source code — is owned by SOAVM Tech or licensed to us, and is protected by copyright, trade mark, database, and other intellectual property laws in Nigeria, the European Union, the United States, and internationally.
3.2 Trade marks. “SOAVM Tech”, the SOAVM Tech name, logo, wordmarks, service marks, and brand identifiers are the exclusive property of SOAVM Tech. No right or licence to use them is granted by these Terms or by your use of the Website. Any use without our prior written consent is prohibited.
3.3 Limited licence to you. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and view the Website, and to print or download individual pages or documents, solely for your internal business evaluation of our services. All other rights are reserved.
3.4 Prohibited uses of content. Except as expressly permitted in Clause 3.3, you must not:
- copy, reproduce, republish, mirror, frame, or redistribute any part of the Website;
- scrape, harvest, crawl, index, or extract Website content by automated means, including via bots, scripts, headless browsers, or data-extraction tools, other than by well-behaved search engine crawlers that respect our robots.txt directives;
- use Website content, in whole or in part, to train, fine-tune, ground, or evaluate any machine learning model, large language model, or generative AI system without our prior written consent;
- replicate, adapt, or create derivative works from our reference architectures, design templates, methodologies, or marketing materials;
- remove, obscure, or alter any copyright, trade mark, or proprietary notice; or
- resell, licence, or otherwise commercially exploit any Website content.
3.5 Intellectual property arising in engagements. For the avoidance of doubt, and consistent with our standard commercial position: all intellectual property, reusable frameworks, tooling, custom modules, scripts, automation, and code developed by SOAVM Tech in the course of any client engagement remains the sole and exclusive property of SOAVM Tech, unless a written assignment or licence has been expressly executed and approved by an authorised signatory of SOAVM Tech within the applicable MSA or SOW. Nothing on the Website constitutes such an assignment.
3.6 Feedback. If you submit ideas, suggestions, or feedback about the Website or our services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation.
4. Professional Services and Website Content
4.1 No offer. Descriptions of practice lines, engagement models, service levels, phases, and indicative scopes on the Website are provided for information only. They do not constitute an offer capable of acceptance, a quotation, or a commitment to provide any service.
4.2 Contract hierarchy. Any professional engagement is governed solely by an executed MSA and SOW. Where anything on the Website conflicts with an executed MSA or SOW, the MSA and SOW prevail.
4.3 Published figures. Where the Website states a metric, it is published with its measurement window and source. Figures describe past or current capability; they are not a guarantee of any outcome in a future engagement unless expressly committed to in a SOW.
4.4 Not professional advice. Articles, whitepapers, and reference architectures are general in nature. They are not tailored advice for your environment and should not be relied on as such without a scoped engagement.
5. Acceptable Use
5.1 You must use the Website lawfully and in a manner that does not impair its availability, integrity, or security. In particular, you must not:
- attempt to gain unauthorised access to the Website, its servers, or any connected system or network;
- probe, scan, or test the vulnerability of the Website except under our published vulnerability disclosure process;
- introduce malware, or conduct denial-of-service, credential-stuffing, or similar attacks;
- submit false, misleading, or impersonating information through any form; or
- use the Website to send unsolicited commercial communications.
5.2 Security research. Good-faith security research conducted in line with our vulnerability disclosure policy will not be treated as a breach of this Clause 5.
6. Enquiries and Submissions
6.1 You are responsible for the accuracy of any information you submit, including through the brief form on the contact page.
6.2 Do not send confidential information through the Website. A brief should describe the problem, not disclose credentials, production data, or regulated personal data. Confidential material is exchanged only after a mutual non-disclosure agreement or MSA is in place.
6.3 We process personal data contained in submissions as described in our Privacy Policy.
6.4 Submitting an enquiry does not create a client relationship, an obligation to respond within any particular time, or any duty of care beyond that set out in these Terms.
7. Third-Party Links and Services
7.1 The Website may link to third-party websites, platforms, and social networks. We do not control and are not responsible for their content, availability, or privacy practices. A link is not an endorsement.
7.2 Your use of any third-party service is governed by that third party’s own terms and policies.
8. Disclaimers
8.1 The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all warranties, conditions, and representations, whether express or implied, including as to accuracy, completeness, fitness for a particular purpose, and non-infringement.
8.2 We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, although we take reasonable, industry-standard measures to secure it.
9. Limitation of Liability
9.1 Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.
9.2 Subject to Clause 9.1, SOAVM Tech shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, revenue, business, goodwill, or data, or for any indirect or consequential loss, arising from your use of, or inability to use, the Website.
9.3 Subject to Clause 9.1, our total aggregate liability arising out of or in connection with the Website shall not exceed one hundred United States dollars (US$100).
9.4 Liability in respect of professional services is governed exclusively by the applicable MSA and SOW.
10. Indemnity
10.1 You agree to indemnify SOAVM Tech against claims, losses, and reasonable costs arising from your breach of these Terms, including breach of Clauses 3 and 5.
12. Changes, Suspension and Availability
12.1 We may update these Terms from time to time. The “Last Updated” date at the top of this page shows when they last changed. Continued use of the Website after a change takes effect constitutes acceptance of the revised Terms.
12.2 We may change, suspend, or withdraw all or part of the Website at any time, for maintenance, security, or business reasons, without liability.
13. Governing Law and Disputes
13.1 These Terms, and any dispute or claim arising out of or in connection with them or the Website, are governed by the laws of the Federal Republic of Nigeria.
13.2 The courts of Lagos State, Nigeria have exclusive jurisdiction, save that we may seek urgent injunctive relief in any competent court to protect our intellectual property or the security of the Website.
13.3 Before issuing proceedings, each party will first attempt in good faith to resolve the dispute through written notice and discussion for a period of thirty (30) days.
